Written in plain language. No legal jargon. These terms govern the relationship between Ubuntu Logic and every subscriber — read them, know them, they protect both of us.

Definitions

Throughout these Terms, the following words have the following meanings:

"Complex Request"A request requiring technical development, backend logic or multi-part delivery — app screens with logic, multi-page website builds, API integrations
"Brief"The full set of information required to begin work — description, assets, references, copy and any specific requirements
"Deliverable"The completed output of a Request, delivered to the Client via email or Google Drive link
"Subscription"A recurring monthly payment plan that grants access to a set number of monthly Requests

What We Provide

Ubuntu Logic provides a subscription-based design and development service. Depending on your plan, this includes: web page design and development, mobile app UI and Flutter development, social media graphics, print and digital design (flyers, brochures, pitch decks), email templates, blog posts, and domain and hosting management as an optional add-on.

We use AI-assisted tools to produce deliverables. All output is reviewed by a human before delivery. The use of AI in our workflow does not reduce the quality, originality or commercial usability of deliverables.

Services not included in any subscription tier — such as full e-commerce builds, complete custom mobile apps from scratch, database migrations, or third-party software requiring external licences — are quoted separately on request.

Request Policy

One active request at a time. We work on one Request per Client at a time. Additional Requests submitted while one is active are queued and processed in order of submission.

Complete briefs required. Your turnaround window begins once we confirm your Brief is complete and all assets are received. If your submission is missing information, copy, brand assets or references, we will contact you by email to request the missing details. The turnaround clock does not start until you respond with everything we need.

Monthly allowance. Each subscription plan includes a set number of Requests per month. Unused Requests do not roll over to the following month under any circumstances.

Complexity classification. We reserve the right to reclassify a Request from Simple to Complex if the scope of work exceeds what was indicated on submission. We will notify you before proceeding if reclassification is required.

Important — when the clock startsTurnaround is measured in business hours from the time we confirm your Brief is complete, not from the time of submission. Business hours are Monday to Friday, 08:00–18:00 SAST, excluding South African public holidays.

Turnaround Guarantee. If we miss the agreed turnaround window without prior notice to you, your next Request will be delivered at no charge. This guarantee applies to standard turnaround only, not Rush delivery. We will always communicate proactively if a delay is anticipated.

Rush delivery (same business day) is available for Simple Requests only at an additional fee of R600 per Request. Rush is subject to current queue capacity and is not guaranteed if the queue is at capacity at the time of submission.

Revisions

Each Request includes up to 3 rounds of revisions within the original scope of the Brief. A revision is defined as a change or correction within the boundaries of what was originally requested — for example, adjusting a colour, changing copy, or resizing an element.

What counts as a new RequestThe following are not revisions — they are new Requests and will consume an additional credit from your monthly allowance: changing the overall concept or direction after delivery, adding sections or features not specified in the original Brief, requesting a fundamentally different design approach, or requesting additional deliverable formats not originally specified.

Revision requests must be submitted via reply to the delivery email within 7 days of delivery. After 7 days, the Request is considered accepted and closed. Revisions on closed Requests count as new Requests.

Pricing & Billing

All prices are in South African Rand (ZAR) and include VAT where applicable. Subscriptions are billed monthly in advance via PayFast. Payment is due on the same date each month from the date of initial subscription.

Failed payments. If a payment fails, your subscription will be paused and active Requests will be placed on hold until payment is resolved. We will notify you by email immediately on payment failure. You have 5 business days to resolve a failed payment before the subscription is cancelled.

Price changes. We will give you at least 30 days written notice by email before any change in subscription pricing takes effect. Existing subscribers are not subject to price increases without prior notice and acceptance.

Overflow & Rush Fees

If you submit Requests beyond your monthly plan allowance, the following overflow rates apply:

Overflow and rush fees are added to your following month's invoice. We will notify you by email before processing any overflow Request so you are aware of the additional charge before we begin work.

Intellectual Property

Your content. All content, logos, brand assets and copy you provide to us remain your intellectual property at all times. By submitting these materials you grant Ubuntu Logic a limited, non-exclusive licence to use them solely for the purpose of completing your Request.

Deliverables. Upon receipt of full payment for the relevant subscription period, full ownership of all Deliverables produced for you transfers to you. You may use Deliverables for any commercial or non-commercial purpose without restriction.

Portfolio rights. Unless you request otherwise in writing, Ubuntu Logic reserves the right to display completed Deliverables in our portfolio, on our website, and in our marketing materials. We will never disclose confidential business information or sensitive data as part of portfolio use. If you require confidentiality, please notify us at the time of submission and we will exclude your work from portfolio use.

Third-party assets. Any stock images, fonts, icons or other third-party assets used in your Deliverables will be sourced from appropriately licensed sources. Ubuntu Logic does not use unlicensed third-party content.

Pause & Cancellation

Pause. You may pause your subscription for up to 30 consecutive days per calendar year. During a pause, billing is suspended and no new Requests can be submitted. Existing active Requests will be completed before the pause takes effect. To pause, email info@ubuntulogic.tech with at least 3 business days notice.

Cancellation. You may cancel your subscription at any time with no penalty and no lock-in period. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for the current billing period. To cancel, email info@ubuntulogic.tech or use the cancellation option in your PayFast account.

Cancellation by Ubuntu Logic. We reserve the right to cancel any subscription with 14 days written notice if: the account is in breach of these Terms; payment fails and is not resolved within the grace period; or requests are submitted in a manner that is abusive, offensive, or outside the bounds of acceptable use as defined in Clause 12.

Free first requestThe free first request offer is available once per individual or business entity. It is non-transferable and may not be redeemed multiple times by the same person or business under different names or contact details.

Privacy & POPIA

Ubuntu Logic complies with the Protection of Personal Information Act, 4 of 2013 (POPIA). By subscribing or submitting a Request, you consent to the collection and processing of your personal information for the purposes of service delivery, billing, and communication.

What we collect. Name, email address, company name, WhatsApp number (if provided), and the contents of your Request submissions including briefs, references and uploaded assets.

How we use it. Solely for the purpose of delivering your Requests, managing your subscription, sending service-related communications, and improving our service. We do not sell, trade or share your personal information with third parties for marketing purposes.

Data storage. Your data is stored on servers located in South Africa. Files shared with us are stored in Google Drive, which is subject to Google's privacy and security standards. Request records are retained for 36 months after subscription termination, after which they are securely deleted.

Your rights. Under POPIA you have the right to access your personal information, request corrections, request deletion, and object to processing. To exercise any of these rights, email info@ubuntulogic.tech. We will respond within 15 business days.

Cookies. Our website (ubuntulogic.tech) uses minimal, functional cookies only — no advertising or tracking cookies are set without your explicit consent.

Liability

Ubuntu Logic will always endeavour to deliver high quality work on time. However, to the extent permitted by South African law, our liability is limited as follows:

We are not liable for any indirect, consequential or special damages arising from the use of our services, including but not limited to lost profits, lost business opportunities, or damage to third-party relationships.

Our total liability for any claim arising from these Terms or our services is limited to the total subscription fees paid by you in the 30 days preceding the event giving rise to the claim.

We are not responsible for delays caused by your failure to provide a complete Brief, failure to respond to clarification requests, or circumstances outside our control including load shedding, internet outages, or force majeure events.

Acceptable Use

Ubuntu Logic will not produce content that is illegal, defamatory, discriminatory, pornographic, or that infringes the intellectual property rights of any third party. We reserve the right to decline any Request that, in our sole judgement, falls outside the bounds of acceptable use.

If a Request is declined on these grounds, the Request credit is returned to your monthly allowance. We will notify you by email explaining that the Request cannot be fulfilled, without necessarily providing detailed reasons.

No credit card fraud or false identitiesAttempting to exploit the free first request offer under multiple identities, providing false business information, or any form of fraudulent conduct will result in immediate termination of access with no refund.

Changes to These Terms

We may update these Terms from time to time. When we do, we will notify all active subscribers by email at least 14 days before the changes take effect. The updated Terms will be published at ubuntulogic.tech/terms.html with the revision date clearly shown.

Continued use of the service after the effective date of updated Terms constitutes acceptance of the new Terms. If you do not agree with the changes, you may cancel your subscription before the effective date with no penalty.

Contact & Disputes

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or the services provided by Ubuntu Logic will first be subject to good-faith negotiation between the parties. If resolution is not reached within 30 days, the dispute may be referred to mediation or arbitration in Johannesburg, South Africa.
